Article 1 : Objet
Les conditions actuelles régissent la vente par la société Xchange Sport & Event AG pour les frais d'inscription
pour un événement Spartan Race en France et d'autres services connexes tels que l'assurance, la gravure de
médaille, le merchandising, les voyages, les hôtels, les produits partenaires. Ces conditions sont également
applicables pour les achats effectués sur des plateformes tierces (par exemple www.maxfunsports.com).

Article 2 : Prix
Les prix de nos produits sont indiqués en Euros et toutes taxes comprises (la TVA et les autres taxes s’appliquent
à la commande), sauf indication contraire et à l'exception des frais de service et des frais de carte de crédit, les
montants seront ajoutés au montant total de la commande avant le paiement. Les frais de service additifs seront
de 9,5% en fonction du montant du produit, y compris la TVA. Le montant sera indiqué avant l’étape de paiement.

Article 3 : Commandes
Vous pouvez commander uniquement par Internet : www.spartanrace.fr et serez redirigé vers la plate-forme de
vente www.maxfun.at.

Les informations contractuelles sont présentées en français et anglais et seront confirmées au plus tard au
moment du paiement ((sans préjudice des dispositions de l'article 14).

La société Xchange Sport & Event AG se réserve le droit de ne pas accepter le paiement et de ne pas confirmer
une commande pour quelque raison que ce soit, et en particulier en cas de problèmes d'approvisionnement, ou
en cas de difficulté concernant la commande reçue.

Le client reconnaît et accepte que Xchange Sport & Event AG puisse modifier la plateforme de vente à tout
moment et sans notification du client. En cas de changement de plateforme de vente, le client donne son accord
pour la migration de ses données client vers une autre plateforme. La sélection de la plateforme de vente ainsi
que la sélection ultérieure d'une autre plateforme est à la seule discrétion de Xchange Sport & Event AG.

Article 4 : Validation de votre commande
Toute commande figurant sur le site www.spartanrace.fr implique l'acceptation des présentes Conditions
Générales. Toute confirmation de commande implique l'acceptation totale de ces conditions de vente sans
exception ni réservation.
Toutes les données fournies et les confirmations enregistrées sont la preuve de la transaction. Vous déclarez
avoir une connaissance parfaite des Termes et Conditions.
Une signature électronique sera demandée pour confirmer la commande et l’acceptation des transactions.
Un résumé des informations de votre commande et ces conditions générales seront envoyés par courrier
électronique lors de la confirmation de votre commande.

Article 5 : Paiement
Le fait de valider votre commande signifie pour vous l'obligation de payer le prix indiqué.
Le paiement de vos achats se fait par carte de crédit via la plate-forme d'enregistrement MaxFun et son système
de paiement sécurisé (sans préjudice pour l’article 3).
La carte est débitée une fois que votre commande est confirmée. Vous recevrez une confirmation de commande
et un reçu confirmant votre commande.

Article 6 : Retrait / Remboursement
Tout engagement est personnel, ferme et définitif, et ne peut faire l’objet de remboursement pour quelque motif
que ce soit conformément à l’article L221-28 du Code de la consommation, sauf dans les conditions reprises à
l’article 15. L’achat d’un dossard et d’un hébergement sont considérés comme des « Prestations de loisirs ».
L’alinéa 12 de l’article L221-28 stipule que « Le droit de rétractation ne peut être exercé pour l’achat de
prestations de loisirs qui doivent être fournies à une date ou selon une périodicité déterminée ». Il en est de
même pour les produits personnalisés tels que tee-shirt floqué ou médaille personnalisée.
Xchange Sport & Event AG se réserve le droit général de reporter, d'annuler ou de modifier des événements à sa
seule discrétion. Ce droit de reporter, d'annuler ou de modifier l'événement s'applique en particulier - mais sans
s'y limiter - aux situations où les conditions météorologiques sont défavorables (par exemple, chaleur, pluie ou
chutes de neige, grêle, orages, tempêtes et tout autre phénomène météorologique, éventuellement uniquement
local) ou tout autre facteur indépendant de la volonté de Xchange Sport & Event AG qui pourrait nuire au bienêtre, à la santé et / ou à la sécurité des participants; en particulier lorsque des épidémies ou des pandémies sont
identifiées par l'Organisation mondiale de la santé et / ou les autorités nationales ou locales (par exemple Covid19). L'achat d'un billet d'entrée pour une épreuve Spartan Race est généralement non remboursable et non
transférable; y compris, mais sans s'y limiter, les situations où Xchange Sport & Event AG décide de reporter,
d'annuler ou de modifier des événements à sa seule discrétion ou un événement ne peut pas être organisé en
raison d'un cas de force majeure ou en raison d'ordres officiels (par exemple, catastrophes naturelles, situations
pandémiques ou épidémiques, tout interdictions d’événement, etc.).
En cas d'annulation ou de report (le report sera défini en changeant la date de l'événement Spartan Race de plus
de 36 heures) d'un événement Spartan Race programmé pour l'année civile 2021 (date de l'événement Spartan
Race entre 01.01 .2021 et 31.12.2021), Xchange Sport & Event AG fournira au client un bon non transférable
pour un billet d'entrée à une autre course Spartan Race. Ce bon pour un billet d'entrée à la course sera
échangeable par le client contre une épreuve Spartan Race du même format (le format sera défini par la distance
de la course et la catégorie de participant) dans le même pays en 2021, ou pour le 2022.

Article 7 : Report éventuel de course
Xchange Sport & Event AG peut offrir à sa seule discrétion des options non obligatoires qui permettent au client
de reporter son billet d'entrée à une autre personne ou à un autre événement. Le client est conscient et reconnaît
qu'il n'a aucun droit légal à un report. Xchange Sport & Event AG se réserve expressément le droit de ne pas
différer pour quelque raison que ce soit. La procédure de report sera définie sur le site Internet
www.spartanrace.fr ainsi que les conditions et frais de report. Xchange Sport & Event AG se réserve le droit de
définir et / ou de mettre à jour les conditions et le coût des reports à tout moment. Les présentes conditions
générales s'appliquent également pour la réservation d'un report. En cas de transfert à une autre personne, le
premier acheteur s'engage à indemniser et dégager Xchange Sport & Event AG de toute responsabilité si celle-ci
n'est pas - pour quelque raison que ce soit - d'accord / non juridiquement valable d'accord avec les présentes
conditions générales ou n'a pas accepté / non juridiquement en vigueur a accepté la renonciation. Le premier
acheteur est responsable envers Xchange Sport & Event AG du fait que la personne qui reprend le billet remplit
ses obligations de paiement envers Xchange Sport & Event AG. Dans tous les cas, Xchange Sport & Event AG
se réserve le droit de refuser la personne qui reçoit un ticket d'entrée transféré sous report sans donner de
raisons et sans indemnité au premier acheteur.

Article 8 : Responsabilités et droit d’image
En confirmant votre commande, vous confirmez être informé.e des risques et circonstances exceptionnelles liés à
la participation à un tel événement sportif :

  • Vous accordez pleinement la permission d'utiliser votre image pour des photographies, des images, des vidéos,
    des photos de mouvements, des enregistrements ou tout autre enregistrement d'activités faisant partie des
    événements dans un but légitime, à perpétuité et qu'il n'y aura aucune compensation en retour.
  • Vous accordez votre autorisation gratuite pour la publication d'un film, de la vidéo et l'enregistrement de votre
    performance en ce qui concerne l'événement et par la suite la diffusion et l'utilisation du même support
    gratuitement. Cette autorisation doit inclure le droit illimité de facturer l'utilisation appropriée par les Parties
    libérées de votre nom, de votre pseudonyme, de votre image, de votre voix, de votre photo, de votre signature
    facsimile et de vos informations biographiques dans le cadre de l'événement. Vous reconnaissez que les Parties
    libérées et leurs représentants ont le droit illimité dans l'univers du droit d'auteur d'utiliser, réutiliser, publier,
    republier, diffuser et distribuer toutes les parties de l'événement où vous pouvez apparaître tels que la radio, le
    réseau, le câble et les programmes de télévision locaux et dans tous les documents imprimés et dans tout autre
    format ou média (y compris les médias électroniques) connus ou développés ultérieurement à perpétuité et sans
    compensation. En contrepartie et en échange de l'autorisation d'assister à l'événement, vous entreprenez et
    acceptez de ne pas poursuivre les rejets pour toutes les plaintes actuelles et futures concernant votre
    participation aux événements, que vous pouvez faire par vous- même, votre famille, les héritiers de votre
    succession ou les héritiers ayants des droits.
  • En vous inscrivant à la course, vous acceptez de respecter toutes les règles de l'événement disponibles sur le
    site. Vous recevrez une puce de chronométrage pour la course, et vous reconnaissez que vous devez porter cela
    comme indiqué dans la partie disqualification. Vous savez que vous devez retourner la puce de chronométrage
    aux organisateurs après la course. Dans le cas où vous ne pourrez pas retourner cette puce de chronométrage,
    l'organisateur a le droit de vous facturer le prix de cette puce.

Article 9 : Responsabilité
La décharge de responsabilité (Waiver) signée par le client / l'acheteur au cours de l'achat du billet fait partie
intégrante des présentes conditions générales.

Article 10 : Droit applicable en cas de litige
La langue de ce contrat est le français. Ces conditions générales sont soumises au droit du Liechtenstein. En cas
de litige, les juridictions du Liechtenstein seront les seuls décisionnaires.

Les parties peuvent également faire valoir leurs prétentions devant tout autre tribunal compétent.

Article 11 : Propriétés intellectuelles
Tous les éléments du site www.spartanrace.fr sont et restent la propriété intellectuelle exclusive de Xchange
Sport & Event AG. Personne n'est autorisé à reproduire, utiliser, publier ou utiliser à quelque titre que ce soit,
même partiellement, des éléments du site, qu'ils soient logiciels, visuels ou sonores. Un seul lien ou lien
hypertexte est strictement interdit sans l'accord écrit exprès de la société Xchange Sport & Event AG.

Article 12 : Données personnelles
La société Xchange Sport & Event AG se réserve le droit de collecter des informations et données personnelles.
Ils sont nécessaires pour gérer votre commande et pour améliorer les services et les informations que nous vous
envoyons.
Ils peuvent également être envoyés aux entreprises qui contribuent à ces relations telles que les responsables de
l'exécution des services et des commandes pour leur gestion, leur exécution, leur traitement et leur paiement.
Ces informations et ces données sont également conservées et en sécurité, afin de respecter les obligations
légales et réglementaires.
Conformément à la loi du 6 janvier 1978, vous disposez d'un droit d'accès, de rectification et d'opposition aux

Xchange Sport & Event AG a le droit d'utiliser ces données à des fins de marketing, mais pas les présenter
publiquement ou de les donner à d'autres parties hormis pour l'exécution de l'événement.

Article 13 : Archivage des preuves
La société Xchange Sport & Event AG doit archiver les bons de commande et les factures sur un support fiable et
durable en tant que copie conforme conformément à l'article 1348 du Code civil.
Toutes les parties examineront les dossiers de la société Xchange Sport & Event AG comme preuve de
communications, commandes, paiements et transactions entre les parties.

Article 14 : Assurances
Spartan Race est un événement risqué (voir également article 8 du Waiver), vous devez être assuré de la
meilleure façon. Comme Spartan Race n'appartient à aucune fédération sportive, les licences sportives ne sont
pas valables à des fins d'assurance individuelle pendant nos événements.
Nous vous proposons une assurance accident individuel et une assurance transfert médical afin de vous garantir
d'être assuré pour tout accident qui ne tombe pas dans la responsabilité de l'organisateur.
Ce n'est pas obligatoire, mais il incombe à votre responsabilité personnelle de vérifier que vous avez tous
demandé des assurances en place avec vos assurances privées personnelles concernant un but d'accident
individuel ou un transfert médical pour ce genre d'événements.
L'organisateur n'a pas été invité à fournir un lien financier avec ces questions.
Cette assurance est accessible pendant le processus d'inscription et n'est pas transférable et non remboursable.
Article 15 : Règlement
Spartan Race en tant qu'événement sportif a des règlements qui s'appliquent pendant la course. En participant à
cet événement, vous reconnaissez avoir lu et accepté les règlements qui imposent votre comportement et la
participation à cet événement.
Les règlements sont accessibles pendant le processus d'inscription, sur le site et envoyés par courrier
électronique avant chaque course.

Article 16 : Interprétation
Les présentes conditions ainsi que d'autres informations contractuelles sont disponibles en anglais et en français.
En cas d'incohérence entre la version française et la version anglaise, la version française prévaudra.

PROMOTIONS

In addition to these Terms, any sweepstakes, contests, games, or similar promotions (collectively, “Promotions”) made available through or in connection with the Services may be governed by specific rules that are separate from these Terms. By participating in any such Promotion, you will become subject to those rules, which may vary from the terms and conditions set forth under these Terms. Spartan urges you to review any specific rules applicable to a particular Promotion, which will be linked from such Promotion. We also urge you to review our Privacy Policy, which, in addition to these Terms, governs any information you submit in connection with such activities. To the extent such rules conflict with these Terms, such rules shall control with respect to the particular Promotion.

We cannot, however, prohibit minors from visiting or using the Spartan Websites, Apps, and/or Spartan Social Media channels, and must rely on parents and guardians to decide what materials are appropriate for children to view and purchase. There are parental control protections (such as computer hardware, software, or filtering services) available that may assist you in limiting access to material that is harmful to minors. INDEMNIFICATION

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS US, OUR THIRD PARTY SERVICE PROVIDERS AND OUR AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS, FROM AND AGAINST ALL CLAIMS, DAMAGES, LOSSES AND COSTS THAT ARISE FROM OR RELATE TO YOUR ACTIVITIES ON OR THROUGH OR IN CONNECTION WITH THE SERVICES, ANY POSTS SUBMITTED BY OR ON BEHALF OF YOU OR YOUR VIOLATION OF THESE TERMS, AND WITH RESPECT TO ANY TERMS INCORPORATED HEREIN SUCH AS IN CONNECTION WITH SPARTAN RACES.

We have no control over, and assume no responsibility for the content, privacy policies, or practices of Third-Party Sites. We do not warrant the offerings of any Third-Party Sites. BY USING AND ENGAGING IN THE SERVICES, YOU ACKNOWLEDGE AND AGREE, ON BEHALF OF YOURSELF, YOUR HEIRS, PERSONAL REPRESENTATIVES AND/OR ASSIGNS THAT YOU ARE AWARE OF THESE RISKS WHICH INCLUDE, BUT ARE NOT LIMITED TO, PROPERTY DAMAGE, ILLNESS, LOSS AND BODILY INJURY OR DEATH. IN THAT REGARD, DEVELOPMENTS IN RESEARCH MAY IMPACT THE FITNESS OR RELATED ADVICE THAT APPEARS ON OR IN CONNECTION WITH THE SERVICES. NO ASSURANCE CAN BE GIVEN THAT THE CONTENT, ADVICE OR RECOMMENDATIONS CONTAINED IN OR THROUGH THE SERVICES WILL ALWAYS INCLUDE THE MOST RECENT FINDINGS OR DEVELOPMENTS WITH RESPECT TO THE PARTICULAR MATERIAL OR CONTENT.

THEREFORE, TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, INDEMNIFY, AND HOLD HARMLESS US, OUR THIRD PARTY PROVIDERS, AGENTS AND REPRESENTATIVES, EACH OF THEIR PARENT, SUBSIDIARIES OR AFFILIATED ENTITIES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONSULTANTS, CONTRACT EMPLOYEES, REPRESENTATIVES AND AGENTS, AND EACH OF THEIR RESPECTIVE SUCCESSORS AND ASSIGNS, FROM ANY AND ALL RESPONSIBILITY, CLAIMS, ACTIONS, SUITS, PROCEDURES, COSTS, EXPENSES, DAMAGES AND LIABILITIES ARISING OUT OF OR IN ANY WAY RELATED TO YOUR PARTICIPATION IN ANY PHYSICAL ACTIVITY, RACES OR CLASS, OR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO WITH RESPECT TO BODILY INJURY, PHYSICAL HARM, LOSS, ILLNESS, DEATH OR PROPERTY DAMAGE.

IP OWNERSHIP – RESTRICTION OF USE – INFRINGEMENT

The information and materials provided on, through, or in connection with the Services, including any content, data, text, designs, graphics, images, photographs, illustrations, audio and video clips, logos, icons, and links (collectively, the “Materials”) are owned exclusively by Spartan or its licensors, and are intended to educate and inform you about the Events and the Services. Subject to your compliance with these Terms, you may use the Materials solely for your personal, non-commercial use, provided that you do not remove any copyright or other proprietary notices contained therein. Subject to your compliance with these Terms, we grant you a limited license to use the Services and Materials for your personal use only; provided that you may not use, reproduce, modify, display, publicly perform, distribute, create derivative works of or circumvent any technological measure that effectively controls access to the Services and/or Materials in any way including, without limitation, by manual or automatic device or process, for any purpose. Notwithstanding anything to the contrary herein, all rights not specifically granted in the license set forth above shall be reserved and remain always with Spartan. Use of the Services and Materials for any purpose other than as expressly authorized in these Terms is a violation of our copyrights and other proprietary rights, and is strictly prohibited.

The trademarks, logos, and service marks displayed in connection with the Services (collectively the “Trademarks”) are the registered and unregistered trademarks of Spartan and Spartan’s advertisers, licensors, sponsors, suppliers, and others. The Trademarks owned by Spartan, whether registered or unregistered, may not be used in connection with any product or service that is not offered by Spartan, in any manner that is likely to cause confusion with customers, or in any manner that disparages Spartan. Nothing contained on the Spartan Websites, Apps, and Spartan Social Media channels should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark without the express written permission of Spartan, Spartan’s licensors or suppliers, or the third-party owner of any such Trademark. Misuse of any Trademarks is prohibited, and Spartan will aggressively enforce its intellectual property rights in such Trademarks, including via civil and criminal proceedings. You further acknowledge that the Services contain software and other content that is protected by copyrights, patents, trademarks, trade secrets or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed. All content provided to us by third parties, is copyrighted individually and/or as a collective work under the U.S. copyright laws and all applicable international copyright (or equivalent) laws in all jurisdictions and protected under other intellectual property laws worldwide; further, as between you and us, we own intellectual property rights in the selection, coordination, arrangement and enhancement of all content in the Services.

We respect the intellectual property of others, and we ask our users to do the same. Each user is responsible for ensuring that their Posts do not infringe any third party's right or other intellectual property rights. If you believe that the Services or any Posts contain elements that infringe or misappropriate your copyrights or other intellectual property rights (or the intellectual property rights of others, please comply with the below.

ARBITRATION AGREEMENT & CLASS ACTION WAIVER – IMPORTANT – PLEASE REVIEW AS THIS MAY AFFECT YOUR LEGAL RIGHTS. APPLICABLE TO THE FULL EXTENT PERMITTED BY LAW.

Initial Dispute Resolution and Notification. You and we agree that, prior to initiating an arbitration or other legal proceeding, you and we will attempt to negotiate an informal resolution of the Dispute. To begin this process, and before initiating any arbitration or legal proceeding against us, you must send a Notice of Dispute (“Notice”) by certified mail to the attention of our Legal Department at the address set out in Section 21 of these Terms. For purposes of these Terms, initiating an arbitration means filing an arbitration demand (“Demand”).

Your Notice to us must contain all of the following information: (1) your full name, address, username, and the email address associated with your account for the Services; (2) a detailed description of the nature and basis of the Dispute; (3) a description of the relief you want, including any money damages you request; and (4) your signature verifying the accuracy of the Notice and, if you are represented by counsel, authorizing us to disclose information about you to your attorney.

After receipt of your Notice, you and we shall engage in a good-faith effort to resolve the dispute for a period of 60 days, which both sides may extend by written agreement (“Informal Dispute Resolution Period”). During the Informal Dispute Resolution Period, neither you nor we may initiate an arbitration or other legal proceeding.

If the Dispute is not resolved during the Informal Dispute Resolution Period, you may initiate an individual arbitration as provided below.

Mediation. If a dispute arises out of or relates to these Terms, or the Participant’s involvement in an Event, and if said dispute cannot be resolved or settled through negotiation, Participant, individually and on behalf of all of her/his heirs, personal representatives, executors, successors and assigns, agrees that prior to the filing of any arbitration, or other legal action consistent with the provisions of these Terms, that Participant will first attempt, in good faith, to settle the dispute by non-binding mediation administered by JAMS Mediation, Arbitration and ADR Services (“JAMS”). The mediation shall take place in Boston, Massachusetts, and shall be facilitated by a neutral appointed JAMS. The costs of such mediation shall be shared equally by the parties thereto.

Arbitration. All controversies, disputes or claims arising out of or related to these Terms, to the extent not first resolved through negotiation and mediation, will be submitted to and for binding arbitration in front of a single arbitrator of JAMS, conducted in accordance with JAMS’ then-current General Arbitration Rules and Procedures (which shall include the applicability of JAMS’ Consumer Arbitration Minimum Standards), at the JAMS’ offices in Boston, Massachusetts. All matters related to arbitration will be governed by the Federal Arbitration Act (9 U.S.C. §§1 et seq.) and not by any state arbitration law.

The arbitrator will have the right to award or include in the award any relief which the arbitrator deems proper in the circumstances, except that the arbitrator does not have the right to award exemplary, punitive, penal or multiple (e.g., double or treble) damages. The award and decision of the arbitrator will be conclusive and binding upon all parties hereto and judgment upon the award may be entered solely in the United States District Court for the District of Massachusetts. If Spartan is the prevailing party in any arbitration brought by you, you agree to reimburse Spartan for any arbitration costs and fees incurred by Spartan (except if you are resident of the State of California).

The arbitrator will not have the authority or right to add to, delete, amend, or modify the terms, conditions, or provisions of these Terms. All findings, decisions and awards of the arbitrator will be limited to the dispute(s) set forth in the written demand for arbitration (and any submitted counterclaim), and the arbitrator will not have authority to decide any other issues unless the parties to the arbitration mutually agree thereto.

Participant, individually and on behalf of all of her/his heirs, personal representatives, executors, successors and assigns, acknowledges and agrees that any arbitration will be conducted only on any individual, not a class-wide, basis (as further described below), and that an arbitration proceeding initiated by Participant and/or her/his heirs, personal representatives, executors, successors and assigns, may not be consolidated with any other arbitration proceeding. No findings, conclusions, orders or awards emanating from any arbitration proceeding conducted hereunder may be introduced, referred to, or used in any subsequent or other proceeding as a precedent, to collaterally estop any party from advancing any claim or defense or from raising any like or similar issues, or for any other purpose whatsoever. The principles of collateral estoppel shall not apply in any arbitration proceeding conducted under this section.

Further, Participant, individually and on behalf of all of her/his heirs, personal representatives, executors, successors and assigns, acknowledges and agrees that notwithstanding any provision of law which provides for a longer limitations period, neither Participant nor Participant’s heirs, personal representatives, executors, successors and assigns will bring, commence, or maintain an action or claim of any kind, in connection with liability or obligation in connection with these Terms, or otherwise, unless brought before the expiration of the earlier of: (i) one (1) year after the date of discovery of the facts resulting in such alleged liability or obligation, or if earlier, the date such facts should or could have been discovered with reasonable diligence; or (ii) eighteen (18) months after the date of the first act or omission giving rise to such alleged liability or obligation. Actions and claims brought or asserted after expiration of the applicable limitations period shall be barred.

Class Action Waiver. YOU AND WE AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, EACH OF US MAY BRING CLAIMS (WHETHER IN COURT OR IN ARBITRATION) AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, PRIVATE ATTORNEY GENERAL, REQUEST FOR PUBLIC INJUNCTIVE RELIEF, OR REPRESENTATIVE PROCEEDING. This also means that you and we may not participate in any class, collective, consolidated, coordinated, private attorney general, request for public injunctive relief, or representative proceeding brought by any third party.  Notwithstanding this provision or any other language in these Terms, you or we may participate in a class-wide settlement. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.

Severability. If any portion of this Section 17 is found to be void, invalid, or otherwise unenforceable, then that portion shall be deemed to be severable and, if possible, superseded by a valid, enforceable provision, or portion thereof, that matches the intent of the original provision, or portion thereof, as closely as possible. The remainder of Section 17 and all other Terms shall continue to be enforceable and valid.

GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of the State of Delaware, United States of America, without regard to principles of conflicts of law. The Uniform Commercial Code, the Uniform Computer Information Transaction Act, and the United Nations Convention of Controls for International Sale of Goods shall not apply. Exclusive jurisdiction for all Disputes that are not required to be arbitrated will be the state and federal courts located in the State of Delaware, United States of America, and you consent to the jurisdiction of those courts.

INTERPRETATION; SEVERABILITY; WAIVER; REMEDIES

Headings are for convenience only and shall not be used to construe these Terms. If any term of these Terms is found invalid or unenforceable by any court of competent jurisdiction, that term will be severed from these Terms. No failure or delay In exercising any right hereunder will waive any further exercise of that right. The waiver of any such right or provision will be effective only if in writing and signed by our duly authorized representative. Our rights and remedies hereunder are cumulative and not exclusive.

SUCCESSORS; ASSIGNMENT; NO THIRD PARTY BENEFICIARIES

These Terms are binding upon and will inure to the benefit of both parties and their respective successors, heirs, executors, administrators, personal representatives, and permitted assigns. You may not assign or transfer these Terms without our prior written consent. We may assign its rights, obligations and/or these Terms at any time in its sole discretion without notice to you.

Nothing in these Terms or otherwise limits our right to object to subpoenas, claims, or other demands.

MODIFICATION

We may update these Terms at any time, in our sole discretion. If we do so, we will let you know by, at a minimum, posting the updated Terms on the Services and indicating as much at the top of these Terms. Modifications will be effective on the date that they are posted. It is important that you review the Terms whenever we update them before you use the Services. If you continue to use the Services after we have posted updated Terms, you are agreeing to be bound by the updated Terms. If you don't agree to be bound by the updated Terms, then you may not use the Services anymore. Because the Services evolve over time we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.

ENTIRE AGREEMENT

These Terms represent the entire understanding between us and you regarding the Services or Content and supersede all prior agreements and understandings regarding the same. These Terms incorporate and apply to any separate terms and conditions that you agree to in connection with the purchase or use of any Services, goods or other services and the privacy policy. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

FORCE MAJEURE

Neither Party shall be liable for any failure or delay in performance under these terms (other than for delay in the payment of money due and payable in accordance with these terms) for causes beyond the party's reasonable control and not caused by that party's fault, or negligence, including, but not limited to, "acts of nature", acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems, computer attacks or malicious acts, such as attacks on or through the internet, any internet service provider, telecommunications or hosting facility, but in each case, only if and to the extent that the non-performing Party is without fault in causing such failure or delay, and the failure or delay could not have been prevented by reasonable precautions and measures and cannot reasonably be circumvented by the non-conforming Party through the use of alternate sources, workaround plans, disaster recovery, business continuity measures or other means. Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused.
